Top 40 law firm Trowers & Hamlins has advised CareConcepts Limited on the back-to-back sale of CareConcepts (Appleton) Limited, a Group trading subsidiary which operates the outstanding Brampton Lodge Care Home in Cheshire.

Brampton Lodge is a purpose built care home for the elderly situated in the Appleton area of Warrington, providing exceptional residential care and purpose built day centre facilities for people with physical disabilities and those living with dementia, with general nursing facilities and intermediate care facilities for residents and service users. The completion of the transaction chain sees the transfer of services by the purchaser, Safe as Houses Investment Plc, to Octopus and its appointed provider, Anavo Care, a specialist dementia care provider, ensuring the continuity of provision of these vital services at Brampton Lodge for residents and service users.  

The Trowers team advised the management team of the BVI parent company on the terms of the share purchase agreement and supporting documentation and project managed the transaction. The back to back nature of the transaction also necessitated careful management of the requirements of the various onward purchasers in the chain and their advisors on behalf of our client to ensure a smooth transition for all parties. 

The transaction was led by Exeter Corporate Partner Lynne Rathbone and London Associate William Barakat, with support from Matthew Holbrook, Melanie List and Rose Wakefield.
