Trowers & Hamlins have advised the shareholders of The Flavourworks Group on the sale of the entire issued share capital of the companies to Griffith Foods, a global product development company specialising in food ingredients.

The Flavourworks Group, based in Somerset, England, is a UK market leader in supplying innovative premium added value food ingredients, manufacturing flavoured butters, oils, marinades, glazes, rubs and sauces for all major UK retailers and is expanding into food services markets. It has a total workforce of over 70 employees.

The Flavourworks Group will now join The Griffiths Foods Family, becoming part of the Griffith Foods European and African division, with sister sites in Belgium, Spain, UK and South Africa.

Griffith Foods has a successful track record stretching back for more than 100 years in innovative product development and today partners with some of Europe's largest food processers, retailers and QSR businesses, with ambitious growth plans.

The deal completed with support from Old Mill Accountancy LLP.

Corporate Partner, Stuart Mathews, led the Trowers team, comprising lawyers from multiple specialisms including Real Estate, Employment and Commercial.

Stuart commented:

"Having worked closely with The Flavourworks team for many years, it was a pleasure to be involved in the working with the shareholders in completing the eventual sale of the companies to Griffith Foods. It was a real collaborative effort with the shareholders and Old Mill Accountancy LLP, taking an active role in the negotiation and smooth completion of this transaction. We are delighted to see The Flavourworks Group embark on a new chapter with The Griffith Foods Family."

Chris Ormrod, Chief Flavourista and Managing Director of The Flavourworks Group, said:

“From beginning to end, Stuart and the Trowers team kept us on track, and kept us sane. Deal processes are never easy and there are inevitably many bumps along the way – at all times I felt we received helpful and appropriate advice and, where needed, a gentle push forwards. It’s been a pleasure working with the team and I would unquestionably choose to use them again.”
