How can we help you?

International law firm Trowers & Hamlins has advised V-Carbon Holdings Limited on its international group structuring and fundraising.

The group structuring project involved bringing within the V-Carbon group a number of companies based in England, Germany, Switzerland and the United States. Simultaneously, V-Carbon closed out an equity fundraising and a convertible loan issuance, brining in strategic investment to drive its commercialisation plans.

Founded by Damian Cessario and Dr Ronald Allred, V-Carbon is an advanced technology and materials business. Its patented unique chemolysis technology provides target aerospace, automotive and industrial sectors with a highly innovative carbon fibre recycling solution. In retaining the mechanical and engineering value of carbon fibre waste, V-Carbon offers a complete and sustainable closed loop solution by delivering a premium grade recycled carbon fibre which can be re-introduced into structural and high-performing applications.

V-Carbon's disruptive, high-performance and sustainable lightweight materials have particular application for current and next generation vehicles (including electric vehicles), where weight from the use of traditional materials and manufacturing systems significantly impede performance and range.

The proceeds of the fundraising will be used to accelerate V-Carbon's technology portfolio and capabilities into the commercialisation phase. V-Carbon is well-positioned to scale up and begin commercial operations in Switzerland, servicing its impressive customer base of European industry leaders including car, aircraft and yacht manufacturers.

Corporate Partner, Edward Hooper, led the Trowers team, assisted by Rachael Hershman and Amy Sandel.

Edward commented:

"It has been a pleasure to have advised Damian and V-Carbon from its initial incorporation through to this transformational fundraising. V-Carbon offers an innovative, sustainable solution, opening up new opportunities for the use and recycling of carbon fibre. We are excited to see V-Carbon move ahead with its scaling and commercialisation strategy and look forward to continuing to support their growth journey on an international scale."

Damian Cessario said:

"We are delighted to welcome within the V-Carbon global group an exciting mix of strategic investors. This pivotal fundraising allows our business to scale its operations and to continue to support our customers in their use of sustainable carbon fibre. We are immensely grateful to Ed and the Trowers team, who have seamlessly coordinated our international group structuring project and delivered strategic advice and expertise in closing out this important fundraising."
