Sam Folley
Sam is a partner in the Real Estate team, specialising in commercial real estate.
Sam has wide experience in acting on sales, acquisitions and leasing of investment property and secured lending transactions acting for borrowers both on new acquisitions and the refinancing of existing debt.
Sam specialises in acting for airport operators, with over 15 years' experience advising the sector on airport expansion and development and airside leasing, with a particular focus on the role of ESG. Sam is a regular contributor to trade publications such as Airport Technology magazine, ESG Investor and Airports International magazine, covering in particular use of airport real estate and sustainability in airport expansion.
Sam also specialises in industrial and logistics property, having acting for investors, developers and occupiers of this asset type. Sam sits on the Industrial Committee of the British Property Federation.
Sam deals with all aspects of non-contentious leasing and management work with particular emphasis in acting for tenants and operators.
Sam also acts for a range of Malaysian clients in respect of their investment into UK property.
Sam's major clients including Outcomes First Group, Man Group, Permodalan Nasional Berhad, Octopus Real Estate, RAW Charging and Farnborough Airport. Here is a selection of recent work highlights:
- Acting for Outcomes First Group in respect of their autism school programme. This involved the acquisition of a large number of sites for the of various types, including offices, existing schools, and community centres conditional upon change of use consent to use class F1. The buildings are then converted to specialist autistic school to satisfy the growing need for such places outside of the state school system.
- Acting for Farnborough Airport in respect of the development of new luxury departure lounge for FlexJet private jet customers at the airport. This involved advising on all planning, real estate and construction aspects. The construction was within airside property so the development agreement had to deal with CAP policies and obligations for building in a working airport.
- Acting for Octopus Real Estate on the acquisition and funding of six care homes operated by Hamberley in a £100m deal. The deal involved Octopus acquiring six corporate wrapped Hamberley facilities in a move that saw Octopus enter the specialist care market for the first time. The facilities are for residents with complex care requirements and include a state-of-the-art Inspire Neurocare neurological rehabilitation centre in Worcester. We advised Octopus on the corporate acquisition as well as the forward funding arrangements for the construction of three new Inspire Neurocare sites in Southampton, Camberley and Basingstoke. Sam advised on all real estate aspects of the deal. The deal will added much needed capacity to the UK’s complex care market. The deal involved putting in place a bespoke form of leasing arrangements for each care home with EBITDA testing across the portfolio and annual minimum capex spend.
- Acting for RAW Charging in respect of their roll out EV chargepoints across National Trust sites throughout England and Wales.
- Acting for Man Property Holdings in respect of the leasing of Riverbank House, London. This included acting on the exit of the previous tenant, Royal Bank of Canada, following by a major refurbishment, and then reletting the premises on a multi-let basis.
- Acting for Permodalan Nasional Berhad in respect of the leasing and management of their central London portfolio, including One Silk Street, One Exchange Square, 77 Queen Victoria Street and 125 Kingsway.
